CERTIFIED PUBLIC ACCOUNTANT (CPA) SERVICE AGREEMENT


This CPA Service Agreement ("Agreement") is made and entered into on this ___ day of _________, 20, by and between:

RECITALS

Provide tax planning and preparation services

2. TERM

3. COMPENSATION

a. Payment Terms

b. Expenses

6. TERMINATION

a. Termination by Either Party


Either party may terminate this Agreement at any time upon thirty (30) days written notice to the other party.


b. Termination for Cause


Either party may terminate this Agreement immediately if the other party breaches any material term of this Agreement and fails to cure such breach within ten (10) days of receiving written notice of the breach.


7. INDEMNIFICATION

The Client agrees to indemnify and hold harmless the CPA from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from the Client's breach of this Agreement or any third-party claims related to the Services provided.


8. INDEPENDENT CONTRACTOR

The CPA is an independent contractor and not an employee of the Client. Nothing in this Agreement shall be construed to create an employer-employee relationship between the parties.


9. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines.


10. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and negotiations, whether written or oral, with respect to the subject matter hereof.


11. AMENDMENTS

No amendment or modification of this Agreement shall be valid unless in writing and signed by both parties.


12. SEVERABILITY

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.


13. DISPUTE RESOLUTION

Any disputes arising out of or in connection with this Agreement shall be resolved through negotiation in good faith. If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to mediation before pursuing any other legal remedies.
